Nir & Associates PLLC is a boutique corporate law firm founded in 2025, advising companies, funds, family offices, founders, and investors on transactional and commercial matters in the United States and internationally, including mergers and acquisitions, joint ventures, strategic alliances, capital raising transactions, and the drafting and negotiation of commercial agreements across a range of industries.
The firm has a particular focus on technology and IP transactions, and also serves clients across real estate, financial services, and apparel.
The firm concentrates primarily on lower middle-market transactions and, in the first 14 months of its operation, has been involved in five successfully closed financing and M&A deals in the $15 million to $85 million range.
Beyond transactions, the firm serves as outside general counsel to growth-stage companies, working closely with management and boards on commercial contracts, strategic partnerships, and corporate governance. The firm also acts as U.S. outside general counsel and primary point of contact for several European and Israel-based companies and law firms on all U.S. legal matters.
Yuval Nir, Esq.
Yuval Nir is the founder and managing attorney of Nir & Associates. He began his legal career in Israel before relocating to New York, where he completed his LL.M. studies at Columbia University School of Law in 2011, where he was named a Kent Scholar for outstanding academic achievement. With more than 17 years of experience, Yuval has advised founders, companies, and investors on transactions and commercial matters in the United States and internationally, ranging from early-stage financings to M&A transactions exceeding $15 billion.
In his most recent role prior to founding Nir & Associates, Yuval served as a partner and head of the corporate practice at a New York-based boutique firm.
His practice has a particular emphasis on mergers and acquisitions, joint ventures, and strategic alliances, as well as capital raising and the negotiation of complex commercial agreements. Yuval has advised clients across technology, healthcare, real estate, art, hedge funds and apparel, and has gained substantial experience in the automotive industry, advising suppliers and technology partners across the supply chain.
Yuval also has deep expertise in technology and intellectual property matters, having represented licensees and licensors in over 100 licensing transactions, particularly in the technology and apparel industries. His work in those areas includes cross-border licensing, data agreements, software and SaaS agreements, development and joint development arrangements, master services agreements, terms of use and privacy policies, digital media and production agreements, and commercial supply and distribution agreements.
